Telenav Software (Navigation) End User License Agreement

Please read these terms and conditions carefully before you use Navigation or OnStar Connected Navigation. By clicking “accept” or your use of Navigation and/or OnStar Connected Navigation you indicate that you accept these terms and conditions and confirm that you are older than the minimum age (“minimum age” means 18 years old in the PRC, excluding Hong Kong and Macao special administrative regions and Taiwan region). If you do not accept these terms and conditions, do not launch or otherwise use Navigation and/or OnStar Connected Navigation.

These terms and conditions (including the Privacy Policy and other terms and policies incorporated herein by reference) represent the agreement (“Agreement”) between you and Telenav, Inc. and its subsidiaries (“Telenav”) with respect to the Navigation software (including upgrades, modifications, or additions thereto, “Navigation Software”), and between you and Shanghai Jitu Software Development Ltd. (“Jitu”) with respect to the OnStar Connected Navigation services (“Navigation Services”, collectively the Navigation Software and Navigation Services may be referred to as the “Navigation Package”) available on select automotive vehicles produced or distributed by SAIC General Motors Corporation Limited or its affiliates (“SGM”). All references herein to “you” and “your” means you, your employees, agents, and contractors, and any other entity on whose behalf you accept these terms and conditions, all of whom shall also be bound by this Agreement.  You agree to inform all drivers and passengers about the presence of the Navigation Package in the vehicle and the collection and use of location and navigation-related data as set out in the Privacy Policy. You also agree to obtain the agreement of any such other person(s) to all of the terms and conditions as set out in this document. Additionally, all of your account information, as well as other personal information provided by you to Telenav and/or Jitu (directly or through the use of the Navigation Package), is subject to the Privacy Policy for Navigation and OnStar Connected Navigation located at http://www.telenav.com/legal/policies/privacy/connected-nav-china. Except where prohibited by applicable law, Telenav and Jitu may revise this Agreement and the privacy policy at any time, with or without notice to you. You agree to visit http://www.telenav.com/legal/terms/connected-nav-china from time to time to review the then current version of this Agreement and http://www.telenav.com/legal/policies/privacy/connected-nav-china to review the then current version of the privacy policy.  If you have any questions over the then current version of this Agreement or the privacy policy, you should immediately stop the use of the Navigation Package and contact us at support@telenav.com to raise your questions.

1. Safe and Lawful Use

You acknowledge that devoting attention to the Navigation Package may pose a risk of injury or death to you and others in situations that otherwise require your undivided attention, and you therefore agree to comply with the following when using the Navigation Package: (a) observe all traffic laws and otherwise drive safely; (b) use your own personal judgment while driving. If you feel that a route suggested by the Navigation Package instructs you to perform an unsafe or illegal maneuver, places you in an unsafe situation, or directs you into an area that you consider to be unsafe, do not follow such instructions; (c) do not input destinations, or otherwise manipulate the Navigation Software, unless your vehicle is stationary and parked; (d) do not use the Navigation Package for any illegal, unauthorized, unintended, unsafe, hazardous, or unlawful purposes, or in any manner inconsistent with this Agreement; (e) arrange all GPS and wireless devices and cables necessary for use of the Navigation Package in a secure manner in your vehicle so that they will not interfere with your driving and will not prevent the operation of any safety device (such as an airbag).

You agree to indemnify and hold Telenav and Jitu harmless against all claims resulting from any dangerous or otherwise inappropriate use of the Navigation Package in any moving vehicle, including as a result of your failure to comply with the directions above.

2. Account Information & Your Location and Search Information

You agree: (a) when registering the Navigation Services, to provide Jitu, and/or SGM with true, accurate, current, and complete information about yourself, your account and your vehicle, and (b) to keep such information true, accurate, current and complete.

In order to enable your use of the Navigation Services, Jitu may receive location and search information related to your use of the Navigation Services. In using the Navigation Services, you allow Jitu to obtain, use and share (as disclosed) this location and search information. Such information is subject to the Privacy Policy, which can be reviewed at http://www.telenav.com/legal/policies/privacy/connected-nav-china. Your use of the Navigation Package indicates that you accept the terms of this Privacy Policy.

3. Software License

Subject to your compliance with the terms of this Agreement, Telenav and/or Jitu, as applicable, hereby grant to you a personal, non-exclusive, non-transferable license (except as expressly permitted below in connection with your permanent transfer of the license), without the right to sublicense, to access and use the Navigation Software (in object code form only) and Navigation Services.  This license shall terminate upon any termination or expiration of this Agreement.  You agree that you will use the Navigation Package only for your personal business or leisure purposes, and not to provide commercial navigation services to other parties.

3.1 License Limitations

You agree not to do any of the following: (a) reverse engineer, decompile, disassemble, translate, modify, alter or otherwise change the Navigation Package or any part thereof; (b) attempt to derive the source code, audio library or structure of the Navigation Package without the prior express written consent of Telenav and/or Jitu; (c) remove from the Navigation Package, or alter, any of Telenav, Jitu’s or their suppliers’ trademarks, trade names, logos, patent or copyright notices, or other notices or markings; (d) distribute, sublicense or otherwise transfer the Navigation Package to others, except as part of your permanent transfer of the Navigation Software; or (e) use the Navigation Package in any manner that (i) infringes the intellectual property or proprietary rights, rights of publicity or privacy or other rights of any party, (ii) violates any law, statute, ordinance or regulation, including but not limited to laws and regulations related to national security, geo-fencing, spamming, privacy, consumer and child protection, obscenity or defamation, or (iii) is harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, or otherwise objectionable; and (f) lease, rent out, or otherwise permit unauthorized access by third parties to the Navigation Package without advanced written permission of Telenav and/or Jitu, as applicable.

4. Disclaimers

Except where prohibited by applicable law, in no event will Telenav, Jitu, their licensors and suppliers, SGM, or agents or employees of any of the foregoing, be liable for any decision made or action taken by you or anyone else in reliance on the information provided by the Navigation Package.  Unless otherwise provided under applicable laws, Telenav, Jitu and SGM also do not warrant or condition the accuracy of the map or other data used for the Navigation Package. Such data may not always reflect reality due to, among other things, road closures, construction, weather, new roads and other changing conditions.  You are responsible for the entire risk arising out of your use of the Navigation Package.  For example, but without limitation, you agree not to rely on the Navigation Package for critical navigation in areas where the well-being or survival of you or others is dependent on the accuracy of navigation, as the maps or functionality of the Navigation Package are not intended to support such high risk applications, especially in more remote geographical areas.

EXCEPT WHERE PROHIBITED BY APPLICABLE LAW, TELENAV, JITU, AND SGM EXPRESSLY DISCLAIM AND EXCLUDE ALL WARRANTIES OR CONDITIONS IN CONNECTION WITH THE NAVIGATION PACKAGE, WHETHER STATUTORY, EXPRESS OR IMPLIED, INCLUDING ALL WARRANTIES OR CONDITIONS WHICH MAY ARISE FROM COURSE OF DEALING, CUSTOM OR TRADE AND INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS WITH RESPECT TO THE NAVIGATION PACKAGE.

5. Limitation of Liability

EXCEPT WHERE PROHIBITED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL TELENAV, JITU OR THEIR LICENSORS AND SUPPLIERS OR SGM BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES (INCLUDING IN EACH CASE, BUT NOT LIMITED TO, DAMAGES FOR THE INABILITY TO USE THE EQUIPMENT OR ACCESS DATA, LOSS OF DATA, LOSS OF BUSINESS, LOSS OF PROFITS, BUSINESS INTERRUPTION OR THE LIKE) ARISING OUT OF THE USE OF OR INABILITY TO USE THE NAVIGATION PACKAGE, EVEN IF TELENAV AND/OR JITU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EXCEPT WHERE PROHIBITED BY APPLICABLE LAW, NOTWITHSTANDING ANY DAMAGES THAT YOU MIGHT INCUR FOR ANY REASON WHATSOEVER (INCLUDING, WITHOUT LIMITATION, ALL DAMAGES REFERENCED HEREIN AND ALL DIRECT OR GENERAL DAMAGES IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE), THE ENTIRE LIABILITY OF TELENAV, JITU AND OF ALL OF THEIR LICENSORS AND SUPPLIERS AND OF SGM SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE NAVIGATION PACKAGE.

6. Arbitration and Governing Law

You agree that any dispute, claim or controversy arising out of or relating to this Agreement or the Navigation Package shall be submitted to China International Economic and Trade Arbitration Commission (CIETAC) for arbitration which shall be conducted in English and in accordance with the CIETAC's arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon all parties.

7. Assignment

You may not resell, assign, or transfer this Agreement or any of your rights or obligations, except in totality, in connection with your permanent transfer of the Navigation Software, and expressly conditioned upon the new user of the Navigation Software agreeing to be bound by the terms and conditions of this Agreement.  Any such sale, assignment or transfer that is not expressly permitted under this paragraph will result in immediate termination of this Agreement, without liability to Telenav and/or Jitu, in which case you and all other parties shall immediately cease all use of the Navigation Software.  Notwithstanding the foregoing, Telenav and/or Jitu may assign this Agreement to any other party at any time without notice, provided the assignee remains bound by this Agreement.

8. Miscellaneous

8.1 This Agreement (including the Privacy Policy and other terms and policies incorporated herein by reference) constitutes the entire agreement between Telenav, Jitu and you with respect to the subject matter hereof.

8.2 Except for the limited licenses expressly granted in this Agreement, Telenav and/or Jitu, as applicable, retain all right, title and interest in and to the Navigation Package, including without limitation all related intellectual property rights.  No licenses or other rights which are not expressly granted in this Agreement are intended to, or shall be, granted or conferred by implication, statute, inducement, estoppel or otherwise, and Telenav, Jitu and their suppliers and licensors hereby reserve all of their respective rights other than the licenses explicitly granted in this Agreement.

8.3 By using the Navigation Package, you consent to receive from Telenav and/or Jitu all communications, including notices, agreements, legally required disclosures or other information in connection with the Navigation Package (collectively, “Notices”) electronically. Telenav and/or Jitu may provide such Notices by posting them on Telenav’s Website or by downloading such Notices to your wireless device. If you desire to withdraw your consent to receive Notices electronically, you must discontinue your use of the Navigation Package.

8.4 Any party’s failure to require performance of any provision shall not affect that party’s right to require performance at any time thereafter, nor shall a waiver of any breach or default of this Agreement constitute a waiver of any subsequent breach or default or a waiver of the provision itself.

8.5 If any provision herein is held unenforceable, then such provision will be modified to reflect the intention of the parties, and the remaining provisions of this Agreement will remain in full force and effect.

8.6 The headings in this Agreement are for convenient reference only, will not be deemed to be a part of this Agreement, and will not be referred to in connection with the construction or interpretation of this Agreement.  As used in this Agreement, the words “include” and “including,” and variations thereof, will not be deemed to be terms of limitation, but rather will be deemed to be followed by the words “without limitation.”

9. Other Vendors Terms and Conditions

The Navigation Package utilizes map and other data licensed to Telenav and/or Jitu by third party vendors for the benefit of you and other end users.  This Agreement includes end-user terms applicable to these companies (included at the end of this Agreement), and thus your use of the Navigation Package is also subject to such terms.  You agree to comply with the following additional terms and conditions, which are applicable to such third party vendor licensors and can be found here:

The data (“Data”) is provided for your personal, internal use only and not for resale.  It is protected by copyright, and is subject to the following terms and conditions which are agreed to by you, on the one hand, and Telenav (“Telenav”) and its licensors (including their licensors and suppliers) on the other hand. If you do not agree to the HERE terms and conditions below, you should discontinue your use of the Data and the Telenav Software.

Terms and Conditions

Permitted Use. You agree to use this Data together with the Telenav Software solely for the internal business and personal purposes for which you were licensed, and not for service bureau, time-sharing or other similar purposes. Accordingly, but subject to the restrictions set forth in the following paragraphs, you agree not to otherwise archive, reproduce, copy, modify, decompile, disassemble, create any derivative works of, or reverse engineer any portion of this Data, and may not transfer or distribute it in any form, for any purpose, except to the extent permitted by mandatory laws.

Restrictions.  Except where you have been specifically licensed to do so by Telenav, and without limiting the preceding paragraph, you may not use this Data (a) with any products, systems, or applications installed or otherwise connected to or in communication with vehicles, capable of vehicle navigation, positioning, dispatch, real time route guidance, fleet management or similar applications; (b) with or in communication with any positioning devices or any mobile or wireless-connected electronic or computer devices, including without limitation cellular phones, palmtop and handheld computers, pagers, and personal digital assistants or PDAs; or (c) with geographic data from competitors of HERE (unless otherwise expressly permitted in writing by HERE).

Warning. The Data may contain inaccurate or incomplete information due to the passage of time, changing circumstances, sources used and the nature of collecting comprehensive geographic data, any of which may lead to incorrect results.

No Warranty.  This Data is provided to you “as is,” and you agree to use it at your own risk.  Telenav and its licensors (and their licensors and suppliers) make no guarantees, representations or warranties of any kind, express or implied, arising by law or otherwise, including but not limited to, content, quality, accuracy, completeness, effectiveness, reliability, fitness for a particular purpose, usefulness, use or results to be obtained from this Data, or that the Data or server will be uninterrupted or error-free.

Disclaimer of Warranty: TELENAV AND ITS LICENSORS (INCLUDING THEIR LICENSORS AND SUPPLIERS) DISCLAIM ANY WARRANTIES, EXPRESS OR IMPLIED, OF QUALITY, PERFORMANCE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.  Some States, Territories and Countries do not allow certain warranty exclusions, so to that extent the above exclusion may not apply to you.

Entire Agreement.  These terms and conditions constitute the entire agreement between Telenav (and its licensors, including their licensors and suppliers) and you pertaining to the subject matter hereof, and supersedes in their entirety any and all written or oral agreements previously existing between us with respect to such subject matter.

Governing Law.  The above terms and conditions shall be governed by the laws of the Netherlands, without giving effect to (i) its conflict of laws provisions, or (ii) the United Nations Convention for Contracts for the International Sale of Goods, which is explicitly excluded.  You agree to submit to the jurisdiction of the Netherlands for any and all disputes, claims and actions arising from or in connection with the Data provided to you hereunder.

Government End Users.  If the Data is being acquired by or on behalf of the United States government or any other entity seeking or applying rights similar to those customarily claimed by the United States government, this Data is a “commercial item” as that term is defined at 48 C.F.R. (“FAR”) 2.101, is licensed in accordance with these End-User Terms, and each copy of Data delivered or otherwise furnished shall be marked and embedded as appropriate with the following “Notice of Use,” and shall be treated in accordance with such Notice:

   本条款和条件(包括《隐私政策》以及通过引用而成为本协议的一部分的其它条款和政策)体现了您与泰为公司(Telenav, Inc.)以及其子公司(简称“泰为”)就导航软件(包括其更新、修改或增加,简称“导航软件”)达成的协议以及您和上海吉图软件开发有限公司(简称“吉图”)之间就安吉星互联导航服务(简称“导航服务”)达成的协议。导航软件和导航服务被合称为“导航套件”,且他们均限于在上汽通用汽车有限公司或其关联方(“上汽通用”)生产或经销的某些特选汽车上可以获取并使用的导航软件和导航服务。在本协议中提及“您”或“您的”指您、您的雇员、代理人和承包商以及您作为其代表接受本协议条款和条件的任何其它其他实体,且上述任何个人或机构均应遵守本协议的条款。您同意向所有驾驶者和乘客告知汽车上有导航套件并且其会收集和使用《隐私政策》中所列位置和导航相关数据。您还同意确保上述任何其他人同意本协议的全部条款和条件。再者,您的所有账户信息和您提供给泰为和/或吉图的个人信息(直接或通过使用导航套件),均会按《导航软件和安吉星互联导航服务隐私政策》的规定处理(见http://www.telenav.com/legal/policies/privacy/connected-nav-china)。除适用法律禁止外,泰为和吉图可以在任何时间修改本协议和《隐私政策》,而无需通知您。您同意经常访问http://www.telenav.com/legal/terms/connected-nav-china了解本协议的最新版本,并同意经常访问http://www.telenav.com/legal/policies/privacy/connected-nav-china了解《隐私政策》的最新版本。如果您对本协议和《隐私政策》的当时有效的版本有任何疑问,您应立即停止使用导航套件,并通过upport@telenav.com联系我们提出您的问题。

   1. 安全并合法使用

   您理解:在需要您不分散注意力的情况下,将注意力集中到导航套件可能会产生您自己和他人的人身伤害和死亡的风险,因此,您同意在使用导航套件时遵守下列规定:(a) 遵守交通法规并安全驾驶; (b)按照您自己的判断驾驶汽车。如果您觉得导航套件建议的线路指示您进行不安全或不合法的操作、会使您处于不安全状况或引导您向您认为不安全的地区行使,请不要按照导航套件的该等指示操作或行驶; (c) 只有在您的车辆静止或停车的情况下您才能输入目的地或对导航软件进行其他操作;(d) 不得为实现任何不合法、未经授权、 计划用途之外的、不安全的、危险的或不合法的目的使用导航套件,也不得以任何与本协议的规定不符的方式使用导航套件;(e) 在您的车里安全安置使用导航套件所必需的GPS、无线设备和线缆,确保它们不影响您的驾驶且不影响安全设备(如气囊)的功能。

   对于因您在任何移动的车辆上对导航套件进行有危险性的使用或其它不适当的使用导致的一切索赔(包括因您不遵守上述规定导致的索赔),您同意赔偿泰为和吉图,并保证不让泰为和吉图承担任何责任。

   2. 账户信息&您的位置和搜索信息

   您同意:(a) 在注册泰为服务时,向吉图和/或上汽通用提供您自己的、您的账号和车辆的真实、准确、完整且最新的信息,并且(b)保持这些信息真实、准确、完整且为最新的信息。

   为了使您能使用导航服务,吉图可能会获取与您使用导航服务相关的位置信息和搜索信息。在使用导航服务时,您允许吉图获取、使用并分享(如披露)这些位置和搜索信息。该等信息应适用《隐私政策》。查阅《隐私政策》,您可以点击http://www.telenav.com/legal/policies/privacy/connected-nav-china.  您使用导航套件表明您接受《隐私政策》的条款。

   3. 软件许可

   在遵守本协议条款的前提下,泰为和/或吉图(视情况而定)特此授予您一项有人身专属性的、非排他性的、不可转让的访问和使用导航软件(仅为目标代码形式)和导航服务的许可(但下文规定的因您永久转让本许可而明确允许进行转让的除外),且您无权进行分许可。本许可应在本协议终止或期限届满时失效。您同意:您仅为了您的个人事务或休闲之目的使用导航套件,而不得向任何其它方提供商业导航服务。

   3.1 许可的限制

   您同意不进行任何下列活动:(a)反向工程、反编译、反汇编、翻译、修改、更改或以其它方式变更导航包或其任何部分; (b)未经泰为和/或吉图事先明确书面同意,试图获取导航包的源代码、音频库或结构;(c)从导航包中删除或更改泰为的或吉图的或其供应商的商标、商号、标识、专利或版权声明或其其它声明或标识;(d)将导航包分发、再许可或以其他方式转让给他人,但作为您永久转让导航软件的一部分而进行除外;或 (e)以下列方式使用导航套件:(i)侵犯任何一方的知识产权或专有权利、公开权或隐私权或其它权利的任何方式使用导航包,(ii)违反任何法律、法规、规章,包括但不限于有关国家安全、地区限制、垃圾邮件、隐私权、消费者和儿童保护、淫秽或诽谤的法律法规,或(iii)有害、威胁、辱骂、骚扰、歪曲、诽谤、粗俗、淫秽、或其他令人反感的方式; 以及(f)未经泰为和/或吉图(视情况而定)的事先书面允许,出租或以其它方式允许第三方使用导航套件。

   4. 免责声明

   除适用法律禁止外,在任何情况下,泰为、吉图、他们的许可方和供应商、上汽通用以及他们各自的代理人或雇员,均不对您或任何他人依据导航套件提供的信息做出的决定或采取的行动承担任何责任。除非适用法律另有规定,泰为、吉图和上汽通用也不保证导航套件使用的地图或其它数据的准确性。因道路封闭、道路建设、天气、新开道路和其它经常变化的条件以及其它情况,导航套件使用的数据可能不能一直反映实际情况。您应承担因您使用导航套件产生的全部风险。例如(但不限于),您同意对于在您或他人的安康或生存依赖导航的准确性的地区的重要导航中,不依赖导航套件,原因是导航套件的地图和功能并不支持这样的高风险用途,特别是在偏远的地理区域。

   除适用法律禁止的之外,泰为、吉图和上汽通用明确声明其并未做出且排除与导航套件有关的一切保证或条件,无论是法律上的、明示的或默示的,包括可能因交易过程、习惯或贸易可能产生一切保证和条件,且包括但不限于:有关导航套件的默示的适销性保证、适合特定目的的保证和不侵犯第三方权利的保证。

   5. 责任限制

   除适用法律禁止的之外,在任何情况下,泰为、吉图、他们的许可方和供应商、上汽通用,对产生于导航套件的使用或不能使用导航套件的间接的、附带性的、继发性的、特殊的或惩罚性的损害或损害赔偿(上述每一种情况均包括但不限于对不能使用设备或不能访问数据、数据丢失、业务损失、利润损失、业务中断或类似情况的损害以及赔偿),均不向您或任何第三方承担任何责任,即使泰为和/或吉图已经被告知存在发生这种损害或赔偿的可能性。

   除适用法律禁止的之外,尽管您可能因任何原因而遭受任何损害(包括但不限于本协议中提及的损害和一切直接的或通常的合同性的、侵权方面的(包括疏忽)或其它方面的损害),泰为、吉图和他们全部的许可方和供应商以及上汽通用的责任总额不超过您为导航套件实际支付的金额。

   6. 仲裁和适用法律

   您同意:因本协议或导航套件产生的或与他们有关的任何争议、索赔或争执均应提交中国国际经济贸易仲裁委员会(CIETAC)以仲裁方式解决。仲裁应根据一方申请仲裁时有效的CIETAC仲裁规则以英语进行。仲裁裁决应为终局裁决且对双方有约束力。

    7. 转让

   您不得将本协议或您本协议项下的任何权利或义务转售、转让或给予他人,但因将导航软件永久转让而进行的整体转售、转让或给予他人的除外,并且,还应以导航软件的新使用者同意遵守本协议的条款和条件为向其转让、转售或给予的前提条件。如您进行本条款未明确允许的任何出售或转让,将导致本协议立即终止,且您无需向泰为和/或吉图承担任何责任,在此情况下,您和所有其他方应立即停止使用导航软件。尽管有上述规定,泰为和/或吉图可以在任何时间将本协议转让给他人,且无需通知您,但是受让人将继续受本协议的约束。

    8. 其它规定

   8.1 本协议(包括《隐私政策》和通过引用而成为本协议一部分的其它条款和政策)构成泰为、吉图和您之间有关本协议标的事项的完整协议。

   8.2 除本协议中授予的有限许可外,泰为和/或吉图(视情况而定)保留针对导航套件的或其中包含的一切权利、所有权和利益,包括但不限于一切相关的知识产权。本协议中未明确授予给您的许可或其它权利均无意且不应该以默示方式、根据法律、动机、禁反言原则或其它原因而被授予或给予,并且泰为、吉图和他们的供应商和许可方特此保留他们各自的除本协议中明确授予的许可之外的权利。

   8.3 使用导航套件表明您同意以电子方式从泰为和/或吉图接收一切与导航套件相关的信息(包括通知、协议、法律要求的披露信息或其它信息,合称为“通知”)。泰为和/或吉图可以通过将通知发布到泰为的网站或下载到您的无线设备上的方式发出通知。如果您希望撤回您对于以电子方式接收通知的同意,您必须停止使用导航套件。

   8.4 任何一方未能要求另一方履行本协议的任何条款,不影响该方在之后的任何时间要求另一方履行的权利,一方豁免另一方对本协议的任何违约或违反不构成对于其之后的违约或违反的豁免,也不构成对于该条款的豁免。

   8.5 如果本协议的任何条款被认定不可执行,则该条款将被修改,但还应体现双方的意图,并且本协议的其它条款将继续完全有效。

   8.6 本协议中的条款的标题仅为方便查阅而设,不得被视为本协议的一部分,并且在解释本协议时不得作为参考。在本协议中,“包括”及其各种语法形式不得视为具有限制性,而应被认为跟随着“但不限于”。

9. 其他供应商条款和条件

   为了您和其它终端用户的利益,导航套件使用第三方供应商许可给泰为和/或吉图的地图和其它数据。本协议中包含这些公司制定的终端用户条款(见本协议末尾),因而,您使用导航套件还应遵守这些条款。您同意遵守下列第三方供应商或许可方制定的额外的条款和条件。这些额外的条款和条件可在此查阅:
